We created Zedosh so that we could all benefit from the ‘Attention Economy’. That’s what brands call the pursuit of our attention online. You might have noticed that you’re currently being interrupted by mostly irrelevant adverts. Not only is that annoying, but the advertising industry is making billions in the process.

That’s a lot of money in exchange for two key things that actually belong to you – your data and your time. We think that there’s an opportunity to build a fairer world, where your data and your time is rewarded rather than stolen. We call it an Attention Exchange®.
However, we know this means we have a big responsibility to do the right thing with the data we hold ourselves. That’s why we never sell any of your personal information. And that’s why our number one focus is always how we store, analyse and protect your personal data.

So how do we actually use your data?
Well, we store the data you share with us in a secure database where your anonymous transactions form part of our Zedosh ‘population’.  Then, our verified advertising partners can search these transactions to target consumers who match a certain transaction profile.

For example, a mobile phone operator wants to target consumers with recent Vodafone transactions. If you have Vodafone transactions, you’ll be part of the target population. If you open and watch the content, you’ll be paid cash for your time.

None of your personally identifiable information is ever used for this. In fact, your personal data is never used in a way that means you, any other individual or their data can be identified. We believe our approach to privacy is nice and straightforward. We’ll always be 100% clear with you on how we use your data to help you become the influencer. How do we make money? Currently, we take a fee from the advertiser to be on our platform.

Our Acceptable Use Policy
About this policy

1.1 Together with our Terms of Service in the section above, this acceptable use policy (‘Acceptable Use Policy’) governs how you may access and use the Zedosh Platform, which is provided by us free of charge.

1.2 You should read this Acceptable Use Policy carefully before using the Zedosh Platform. 

1.3 By accessing or using the Zedosh Platform or otherwise indicating your consent, you agree to be bound by this Acceptable Use Policy, which supplements our Terms of Service above. If you do not agree with or accept any part of this Acceptable Use Policy, you should stop using the Zedosh Platform immediately.

1.5 Defined terms in this Acceptable Use Policy shall have the meaning given in the Terms of Service and the same rules of interpretation apply.

Acceptable use

We permit you to use the Zedosh Platform only for personal and non-commercial purposes. Use of the Zedosh Platform in any other way, including any unacceptable use set out in this Acceptable Use Policy, is not permitted.

Unacceptable use

3.1 As a condition of your use of the Zedosh Platform, you agree not to use the Zedosh Platform:

(a) for any purpose that is unlawful under any applicable law or prohibited by this Acceptable Use Policy or our Terms of Service above this Acceptable Use Policy;

(b) to commit any act of fraud;

(c) to distribute viruses or malware or other similar harmful software code;

(d) for purposes of promoting unsolicited advertising or sending spam;

(e) to simulate communications from us or another service or entity in order to collect identity information, authentication credentials, or other information (‘phishing’);

(f) in any manner that disrupts the operation of the Zedosh Platform or business or the website or business of any other entity;

(g) in any manner that harms minors;

(h) to promote any unlawful activity;

(i) to represent or suggest that we endorse any other business, product or service unless we have separately agreed to do so in writing;

(j) to gain unauthorised access to or use of computers, data, systems, accounts or networks; or

(k) to attempt to circumvent password or user authentication methods.

You may not use our trade marks, logos or trade names except in accordance with this Acceptable Use Policy and our Terms of Service above.

Our App lets you (i) access a wide range of financial wellbeing information and (ii) third-party content against remuneration (the Services). We built our App because we believe financial wellbeing and education are crucial parts of modern life. We also believe that it’s inherently unfair that modern internet users are the products of the “free services” they use. We created Zedosh to empower people to benefit from the data economy through financial education and by giving them the opportunity to earn cash from watching tailored advertisement based on anonymised data. How do we achieve that? By sharing with you the knowledge we have gained in the financial industry over the last fifteen years and by harnessing the power of the Open Banking solutions offered by our key partner Moneyhub Financial Technology Ltd.

Scope & Acknowledgement

his Notice applies to any personal data (also referred to as personal information, information or data) processed as a result of your use of our Services. That is any information capable of identifying you either directly or indirectly.
We make money from advertising. We sell ‘audiences’ to brands and advertisers but we do not sell personal data. We do not need to share your personal data with brands or advertisers either. In order to make our business model work, we rely on a key processing activity, that is: anonymising the information you bring into our App. Aggregate data about our users’ financial transactions is sold to brands and advertisers so that they can make informed decisions on their advertising campaigns that you can chose to see or not to see within the Interests section of our App. We allow our brands and advertisers to target groups and not individuals. Brands and advertisers do not have access to your information unless you decide to share it with them.
By submitting personal data to us, you acknowledge that you have read this Notice.

Personal Data Processing

The section below sets out what sort of personal data processing is necessary in respect of each App functionality. It also details the processing purposes and the lawful grounds for processing in accordacne with the requirements of the Geneal Data Protection Regulation (EU) 2016/679 (the Regulation). For the purposes of the Regulation Zedosh Limited acts as ‘controller’

3.1 User Sign Up:
Relevant Data; Unique user ID (UUID), mobile phone number (with country code), first and last name, password
Purpose for Processing: to grant you access to our Services and verify your account
Legal Justification; The processing is necessary for the performance of the contract between Zedosh and you.
3.2 Bank Account Connect
Relevant Data; UUID, your bank’s name, your account name, number and sort code, your account balance, your incoming transactions and your outgoing transactions.
Purpose for Processing; To connect your bank account(s) using Open Banking standards with our App in order to provide you with any of the App functionalities.
Legal Justification; The processing is made pursuant to your consent.
3.3 Feed
Relevant Data; No data required other than UUID unless Weather widget is in use in which case approximate geo-location is processed.
Purpose for Processing; To provide financial education and financial wellbeing advice as part of our Services; to display the weather forecast.
Legal Justification;
The processing is necessary for the performance of the contract between Zedosh and you; The processing of location data for the Weather widget is made pursuant to your consent.
3.4 Analytics
Relevant Data; UUID, amount earned, amount spent and spending categories.
Purpose of Processing; To provide income and expenditure summary of connected accounts as part of our Services.
Legal Justification; The processing is necessary for the performance of the contract between Zedosh and you.
3.5 Interests
Relevant Data; UUID, your bank’s name, your account name, number and sort code, your account balance, your incoming transactions and your outgoing transactions.
Purpose for Processing; To provide third party content which you can watch against remuneration as part of our Services. This content is based on aggregate (ie anonymised) data such as your transactions history.
Legal Justification; The processing is necessary for the performance of the contract between Zedosh and you.
3.6 Favourites
Relevant Data; UUID, your favourite content.
Purpose for Processing; To display your favourite third party content on demand.
Legal Justification; The processing is necessary for the performance of the contract between Zedosh and you.
3.7 Profile Personalisation
Relevant Data; UUID, data of birth, city.
Purpose for Processing; To personalise your in-App experience (optional).
Legal Justification; The processing is made pursuant to your consent.
3.8 Making Payments in ‘Zedosh’
Relevant Data;
UUID, your bank’s name, your account name, number and sort code.
Purpose for Processing; For us to make payments for your attention spent watching third party content in the Interests section of our App.
Legal Justification; The processing is necessary for the performance of the contract between Zedosh and you.

Personal Data Sharing

We may share your personal data with the following recipients.
4.1 Suppliers and Partners for the following purposes; we
may disclose your personal data to our suppliers who help us run our business and our App. Our suppliers may process your personal data on our behalf solely in accordance with our instructions and pursuant to a written contract.
For example, we use suppliers for webhosting, secure cloud storage, analytics, email and SMS delivery, customer relationship management, fonts and other services.
We may also use suppliers such as social media companies and search engines in order to promote our Services. We may share your email address or device ID with these suppliers.
We may share the data on the following legal grounds; this
is either:
(1) necessary for the performance of the contract between Zedosh and you; or
(2) necessary for the purposes of our legitimate interests that are to connected to the proper administration of our business; or
(3) necessary for the purposes of our legitimate interests that are to promote our Services.
When none of the above applies, we will seek your permission in order to use a certain supplier with respect to your personal data
4.2 Advisors for the following purposes; we may disclose your personal data to our professional advisors that are usually regulated by a competent authority (lawyers, accountants, etc.) where that proves necessary.
We may share the data on the following legal grounds; this is necessary for the purposes of the legitimate interests that we pursue namely the proper administration of our business.
4.3 Authorities for the following purposes; we may disclose your personal data to the court service or regulators or law enforcement agencies in connection with proceedings or investigations where we are compelled to do so
We may share the data on the following legal grounds; we would do this if we need to comply with a legal obligation or when in pursuit of our legitimate interests, namely the protection of our business.
3.4 Corporate Restructuring for the following purposes; If we sell or buy any assets or business, we may disclose your personal data to the prospective seller or buyer of such business or assets. Conversely, if we are acquired by another business, personal information about our customers will be transferred to the buyer. We may share the data on the following legal grounds; this is necessary for the purposes of the legitimate interests, namely the proper administration of our business and our business’ continued ability to provide our Services.

Third Party Integrations With Our App

We automatically exchange information with the following third parties as necessary to deliver our Services. These exchanges occur only when the App is ‘active’ and as such are not limited in duration but occur when you open our App and cease when you close it.
5.1 Starling Bank (API) – We bank with Starling and use their services to pay you in ‘Zedosh’

Transfers of Data In And Out Of The European Economic Area and the United Kingdom ("EEA"; "UK")

Our App and customer database is stored on Amazon Web Services, in server farms physically located in the UK. However, the very nature of Internet communications means that at least some of the personal data processed by us and the parties we share it with may be transferred in and out of the EEA which is an area composed of countries offering a high standard of personal data protection pursuant to the Regulation which imposes certain restrictions on outbound transfers to most non-EEA territories. On the other hand, most non-EEA territories do not impose any restrictions on transfers of personal data to the EEA.
If you are residing in the EEA or in the UK your data transferred to our suppliers outside these territories will be protected with model data protection clauses approved by the European Commission. Please contact us if you would wish to have further details of the specific safeguards applied to the export of your personal data outside the EEA (where applicable).

Your Rights Over Your Information

We are committed to fulfilling the statutory data protection rights of our customers. Please use our contact details provided at the beginning of this Notice if you wish to exercise the following rights in respect of the personal data about you that we process:

Profiling and the right to object. As our Services evolve we are planning to categorise App users in accordance with their interests and on the basis of their spending habits. Such information will be anonymised and shared with brands and advertisers. In turn these third parties will provide us with their content which we will display to you against remuneration in the Interests section of our App. These third parties will never know who you are, unless you decide to use their services. This process involves profiling and under data protection law you are entitled to object to it. However, please note that our business model relies on this profiling and we may not be able to provide you our Services should you decide to exercise your right to object.

 

Information Security

At Zedosh we maintain physical, electronic and procedural safeguards to protect personal data in accordance with data protection legislation requirements. We only use suppliers who undertake to maintain comprehensive Information Security Programs with effective administrative, technical, and physical safeguards capable of identifying, detecting, protecting against, responding to, and recovering from security incidents.
Our App is developed in compliance with the leading industry standard OWASP Application Security Verification Standard 4.0.2. Our main cloud computing provider, Amazon Web Services boasts industry leading information security practices and is certified against most modern information security standards such as SOC 1,2,3 and ISO/IEC 27001:2013, 27017:2015, 27018:2019, and ISO/IEC 9001:2015 and CSA STAR CCM v3.0.1.

Data Retention Period

We shall retain your personal data until you request us to no longer hold it, unless we required to keep it by law. If your personal data becomes irrelevant for the purpose for which it was originally collected then we will securely dispose of it. As a general rule, we delete data about users who have been inactive for over twenty four (24) months. In all other cases, to determine the appropriate retention period for personal data, we consider the amount, nature, and sensitivity of the personal data, the potential risk of harm from unauthorised use or disclosure, the purposes for which we process personal data and whether we can achieve those purposes through other means, and the applicable legal requirements. 

Please note that the foregoing does not apply to any personal data that has been irreversibly anonymised, meaning data rendered anonymous in such a manner that you are no longer identifiable from such data. Under the applicable law, such data is not deemed personal and may be retained and shared indefinitely.

Access to the Zedosh Platform

1.1 These Terms of Service apply to any part of the Zedosh Platform, its functionality and content which are provided to you free of charge for information or entertainment purposes only.

1.2 We use commercially reasonable endeavours to make the Services available 24 hours a day, 7 days a week, except for routine and emergency maintenance. However, access to the Services is not guaranteed. If you have any difficulties using the Zedosh Platform, please contact us using the contact details at the top of this page. 

1.3 We try to make sure that the Services are accurate, up-to-date and free from bugs, but we cannot promise that they will be. Furthermore, we cannot promise that the Services will be fit or suitable for any purpose. Any reliance that you may place on the information on the Services is at your own risk.

1.4 Zedosh:

(a) does not promise that the Services shall be uninterrupted or error free; 

(b) does not, unless otherwise agreed, promise that the Services are compatible with third party software or equipment; and 

(c) shall not be liable, nor be required to fix, any problem, defect or error caused by any equipment or third party software used in connection with the Services. 

1.5 To the maximum extent permitted by applicable law, you accept that the Zedosh Platform is provided on an ‘as is’ basis, without warranty of any kind, either express or implied.

1.6 We make no promise that the Services are appropriate or available for use in locations outside of the UK. If you choose to access the Zedosh Platform from locations outside the UK, you acknowledge you do so at your own initiative and are responsible for compliance with local laws where they apply.

Account Information Services

2.1 The Zedosh Platform enables you to connect to your bank accounts and other accounts you hold with third party institutions (“Third Party Accounts”) via the Moneyhub API (please see here https://www.moneyhubenterprise.com/data-intelligence-api). This enables us to access and retrieve data from your bank and other accounts to populate areas of the Zedosh Platform with details from those Third Party Accounts (‘Account Information Services’).
2.2 By using the Account Information Service to connect to Third Party Accounts, you authorise Moneyhub (on an ongoing basis unless and until you deactivate the connection) to access the relevant third party source, on your behalf and as your agent, to retrieve information requested by you or otherwise available from the Third Party Account. You agree that the bank or other institution providing the Third Party Account(s) shall be entitled to rely on the foregoing authorisation and that the Account Information Service may not be endorsed or sponsored by any Third Party Account providers.
2.3 Zedosh cannot be responsible for the accuracy of data it receives from the Third Party Accounts or Moneyhub and you must ensure that it is (and continues to be) accurate. If at any time you choose not to link to a Third Party Account you will stop receiving information from that Third Party Account (for example up-to-date valuations) which may affect elements of the Account Information Service (for example, financial projections) provided by Moneyhub. Zedosh cannot be responsible for any inaccuracies caused by you no longer having access to data or by data not being up-to-date.
2.4 Zedosh is acting as an agent on behalf of Moneyhub and does not itself supply the Account Information Service and, to the fullest extent permitted by law, does not accept any responsibility or liability arising out of the provision of the Account Information Service supplied by Moneyhub. Zedosh shall also not be responsible or liable for any of the following matters:
(a) the inputting and maintenance of your account information and its security;
(b) the accuracy, quality, integrity and legality of your account information;
(c) delays, failures or loss of or damage to data arising from the transfer of data over the internet or other communications networks or facilities including via the Moneyhub API;
(d) uses of the Account Information Service in a manner which infringe a third party’s legal rights or breaches any applicable law; and
(e) back-ups of your account information or any other data.

Advert Services and Third Party Content

3.1 You can opt in to view third party advertising and content (‘Third Party Content’) on the Zedosh Platform in exchange for payment made to you in accordance with clause 10 (the ‘Advert Services’).
3.2 You acknowledge and agree that Zedosh has no control over such Third Party Content and accepts no legal responsibility for any content, material or information contained in them. Zedosh does not sponsor or endorse any third party whose content is viewed on the Zedosh Platform. You acknowledge and agree that Zedosh does not itself create or own the Third Party Content and, to the fullest extent permitted by law, does not accept any responsibility or liability that arises out of displaying such Third Party Content on the Zedosh Platform.
3.3 Contributions, articles, commentary, charts, data visualisations, other materials, Content and Third Party Content posted on the Zedosh Platform are provided for your general information purposes only and to inform you about us and/or third party products and news, features, services and other websites that may be of interest. It does not constitute technical, financial or legal advice or any other type of advice and should not be relied on for any purposes. You should not rely on the content within our Service as the basis for making a financial decision. You should always use your own independent judgment when using the Services and you should seek professional advice if in doubt. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any user of our Services, or by anyone who may be informed of any of its contents.

Your obligations

4.1 As a condition of your use of the Services, you agree to:
(a) at all times use the Services in a responsible and respectful manner;
(b) not attempt to gain unauthorised access to the Services, the server on which the Zedosh Platform is stored or any server, computer or database connected to the Zedosh Platform and agree to be responsible for any acts of unauthorised access to the Services where such access is gained by unauthorised use of your account;
(c) not misuse or attack the Services by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful (such as by way of a denial-of-service attack);
(d) inform Zedosh immediately on becoming aware of any unauthorised access to the Services;
(e) comply with any law applicable to it in its access to, receipt of or use of the Services;
(f) not perform any security testing of the Services or of any infrastructure or facilities whatsoever used to provide the Services, including network discovery, port/service identification, vulnerability scanning, password cracking, remote access testing or penetration testing;
(g) take full responsibility and accept all liability in respect of the use you makes of the Services and the results you achieves from them;
(h) comply with our ‘Acceptable Use Policy’ available at below (which may be amended at any time); and
(i) not use the Services or allow any unauthorised third party, to create, store, access, transfer to any third party or otherwise distribute any code or device intended to interfere with or having the effect of interfering adversely with, the operation of any hardware or software, including any bugs, worms, logic bombs, Trojan horses or any other such programs, or any other material which is unlawful.
4.2 If you fail at any time to comply with clause 4.1 in any respect, Zedosh may without prior notice suspend your access to or use of the Services either completely or to the extent Zedosh in its sole discretion deems necessary to ensure a safe and secure manner of providing services to its customers in general. Zedosh shall be entitled to maintain the suspension until you are able to remedy its non-compliance with clause 4.1.

Registration and password security

5.1 Use of the Services requires you to register and make an account with us. You will require a valid UK mobile telephone number and will be asked to enter your name, pincode and any other piece of information we deem necessary as part of our security procedures. By creating a user account, you certify that all information you provide in the registration is accurate. You are responsible for making sure that your password and any other account details are kept secure and confidential. In order to create a user account, you must be at least 17 years of age.
5.2 We are not obliged to permit anyone to register with the Service and we may refuse, terminate or suspend registration to anyone at any time.
5.3 If we have reason to believe there is likely to be a breach of security or misuse of the Services through your account or the use of your password, we may notify you and require you to change your password, or we may suspend or terminate your account.

Your privacy and personal information
6.1 Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy available at further down this page, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.
Ownership, use and intellectual property rights

7.1 The intellectual property rights on the Zedosh Platform and in any text, images, video, audio or other multimedia content, software or other information or material submitted to or accessible from the Zedosh Platform (‘Content’) are owned by us and our licensors (including Third Party Content).
7.2 We and our licensors reserve all our intellectual property rights (including, but not limited to, all copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. This means, for example, that we remain owners of them and are free to use them as we see fit.
7.3 Nothing in these Terms of Service grants you any legal rights in the Services, the Content or the Third Party Content other than as necessary for you to access it. You agree not to adjust, try to circumvent or delete any notices contained on the Zedosh Platform (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Zedosh Platform, the Content or the Third Party Content.

Infringing content

8.1 We will use reasonable efforts to:
(a) delete accounts which are being used in an inappropriate manner or in breach of these Terms of Service; and
(b) subject to clause 4 above, identify and remove any content that is inappropriate, defamatory, infringes intellectual property rights or is otherwise in breach of our Acceptable Use Policy
when we are notified, but we cannot be responsible if you have failed to provide us with the relevant information.
8.2 If you believe that any content which is distributed or published by the Services is inappropriate, defamatory or infringing on intellectual property rights, you should contact us immediately using the contact details at the top of this page.

Limitation on our liability

9.1 Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury) or arising under applicable laws relating to the protection of your personal information, we shall not be liable to you, whether in tort (including for negligence or breach of statutory duty), contract, misrepresentation or otherwise for the following types of loss whether direct or indirect or howsoever caused for:
(a) matters relating to clause 2 and 3 of these Terms of Service;
(b) loss or corruption of data or information;
(c) loss of anticipated saving;
(d) losses that were not caused by any breach on our part;
(e) business losses; and
(f) losses to non-consumers.
9.2 You assume sole responsibility for results obtained from the use of the Services, and for conclusions drawn from such use. We shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to us by you or by third parties in connection with the Services.
9.3 Subject to clauses 9.1, Zedosh’s maximum liability to you for all and any claims of whatever nature and whether based on contract, tort (including negligence), breach of statutory duty or otherwise arising out of or in connection with these Terms of Service or any activities related to these Terms of Service shall be limited to a sum of £1,000.

Payment

10.1 In exchange for viewing the Advert Services, you can earn up to £0.50 for every piece of Third Party Content that is viewed on the Zedosh Platform (‘Earning Potential’). The full amount that you accumulate will be shown in your Zedosh account (‘Earned Amount’).   10.2 You may be presented with one or more methods of withdrawal. We cannot guarantee the use of any particular withdrawal method and may change or stop offering a withdrawal method at any time without notice to you, but we will ensure that you will always have at least one withdrawal method available to you.
10.3 Notwithstanding the provisions contained in this clause 10, the Earned Amount may be shown in your Zedosh as a pending bonus (‘Bonus Amount’). Such Bonus Amount shall only become available for withdrawal by you in accordance with clause 10.2 if Zedosh has first received payment of all fees from the relevant Third Party Content provider (‘Bonus Provider’). In the event that the Bonus Provider fails to pay any fees owed to Zedosh, the Bonus Amount relating to such Bonus Provider will not be made available to be withdrawn by you.  10.4 When setting up your withdrawal request, you must ensure that the information you provide is correct and complete. We will not be responsible for money sent to the wrong recipient as a result of incorrect information provided by you. If you have provided wrong information to us, you may ask us to assist you in recovering the money, but we cannot guarantee that such efforts will be successful.
10.4 Withdrawal methods are not part of the Services, they are services provided by third parties for example the bank where you hold your bank account. For the purposes of a withdrawal transaction, we are a payer and not a payment service provider.
10.5 Zedosh reserves the right to change the Earning Potential available on the Zedosh Platform at any time.
10.6 If at any time you think that your total Earned Amount is incorrect, please contact us on support@zedosh.com. hello@zedosh.com.

 

Warranties

11.1 Zedosh warrants to you that:
(a) it will provide the Zedosh Platform using reasonable care and skill; and
(b) it has the full power and authority to enter into and perform its obligations under these Terms of Service.
11.2 Other than as set out in these Terms of Service all warranties, conditions, terms, undertakings or obligations whether express or implied and including any implied terms relating to quality, fitness for any particular purpose or ability to achieve a particular result are excluded to the fullest extent allowed by applicable law.

Termination

12.1 Zedosh may terminate these Terms of Service immediately and deactivate your account if you commit a material or persistent breach of these Terms of Service, the Zedosh Platform is discontinued, or where the provision of the Zedosh Platform become unlawful. Zedosh will use reasonable endeavours to provide you with notice in advance; however, you acknowledge that this may not be possible in all circumstances.
12.2 Upon termination:
(a) all rights granted to you under these Terms of Service shall immediately terminate; and
(b) You must cease all activities authorised by these Terms of Service.

Other Important Terms

13.1 User can review the Terms of Service at any time on this page. Zedosh reserves the right to change the Terms of Service at any time by posting updates to this page. If Zedosh make substantial changes, or if it is required to do so by law, Zedosh will notify you of such change in advance to the email address associated with your account, but it is your responsibility to check this page from time to time to make sure it is aware of any changes to these Terms of Service.
13.2 No one other than a party to these Terms of Service has any right to enforce any of these Terms of Service.
13.3 No failure, delay or omission by either party in exercising any right, power or remedy provided by law or under these Terms of Service shall operate as a waiver of that right, power or remedy, nor shall it preclude or restrict any future exercise of that or any other right or remedy. No single or partial exercise of any right, power or remedy provided by law or under these Terms of Service shall prevent any future exercise of it or the exercise of any other right, power or remedy.
13.4 These Terms of Service and any dispute or claim arising out them, or in connection with, it, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of England and Wales.
13.5 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, this Agreement, its subject matter or formation (including non-contractual disputes or claims).

Our Brand Guidelines

Introduction

1.1 These Brand Guidelines (as updated from time to time) are incorporated into our Agreement pursuant to the Advertising Services Agreement.

1.2 Defined terms in these Brand Guidelines shall have the meaning given in the Advertising Services Agreement and the same rules of interpretation apply.

1.3 These Brand Guidelines provide the rules on which the Customer’s Advertising can be displayed on the Zedosh Platform.

1.4 The Customer is only able to use the Ad Services in accordance with the terms of the Agreement and any Advertising which is submitted to Zedosh which is in breach of any of the terms set out in these Brand Guidelines, will not be permitted. If the Customer does not agree with the terms of these Brand Guidelines, they may not use the Ad Services.

Advertising Guidelines

2.1 As a condition of use of the Ad Services, the Customer agrees that the Advertising will not:

a) relate to tobacco, alcohol, prescription or recreational drugs or other related products;

b) relate to weapons, ammunition or explosives;

c) relate to adult contents or products or services and advertising that it reasonably determines is not appropriate for viewing by people aged [18] and younger;

d) relate to advertising that Zedosh reasonably determines is shocking, sensational, inflammatory or excessively violent content;

e) relate to advertising that exploits crises or controversial political or social issues for commercial purposes;

f) relate to advertising that it reasonably determines discriminates or encourages discrimination against people based on personal attributes such as race, ethnicity, colour, national origin, religion, age, sex, sexual orientation, gender identity, family status, disability, medical or genetic condition;

g) relate to advertising that Zedosh reasonably determines discriminates or encourages discrimination against people based on personal attributes such as race, ethnicity, colour, national origin, religion, age, sex, sexual orientation, gender identity, family status, disability, medical or genetic condition;

h) [without the prior written consent of Zedosh,] promote online gambling, and gaming where anything with monetary value (including cash or digital/virtual currencies) is required to play and/or anything of monetary value forms part of the prize, including the promotion of games where purchases are required to continue play and/or provide an advantage;

i) [without the prior written consent of Zedosh,] promote credit cards, loans or insurance services;

j) for any purpose that is unlawful under any applicable law or prohibited by this Acceptable Use Policy or our Agreement;

k) promote any unlawful activity;

l) in any manner harm or endanger minors or any other person;

m) submitted lawfully and without infringement of any Intellectual Property Rights of any person;

n) cause offence, embarrassment or annoyance to any person and will not be not defamatory or likely to give rise to an allegation of defamation;

o) direct Users to a non-functional landing page (including a landing page that interferes with the Users ability to navigate away from that page);

p) contain images that portray non-existent functionality, including (but not limited to) imagery that replicates play buttons, notifications or checkboxes);

q) contain interactive features that do not work, including (but not limited to) multiple choice options within the Advertising itself;

r) contain spyware, malware or any software that results in an unexpected or deceptive experience (including links to sites containing these products);

s) use tactics that are intended to circumvent Zedosh’s Advertising review process or other enforcement system, including techniques to disguise the Advertisings content or destination page;

t) promote payday loans, payslip advances, bail bonds or any short-term loans intended to cover someone’s expenses until their next payday (for the avoidance of doubt, short-term loans refer to a loan of 90 days or less);

u) promote penny auctions, bidding fee auctions or other similar business models;

v) promote financial products and services that are frequently associated as being misleading;

w) directly request the input of a User’s financial information (including credit/debit card information); and

x) [without the prior written consent of Zedosh,] promote online games that simulate casino gambling (for example, poker, slots, roulette etc.) where there is no opportunity to win money or money’s worth.

2.2 The Advertising must comply with The UK Code of Non-broadcast Advertising and Direct & Promotional Marketing.

2.3 Any Advertising promoting income opportunities must fully describe the associated product or business model, and must not promote business models offering quick compensation for no investment, including multi-level marketing opportunities.

2.4 Any Advertising that promotes credit card applications or financial services with accredited institutions must clearly provide sufficient disclosure regarding associated fees, including ADR percentages, transaction fees, interest rates and the physical address of the entity offering the financial product within the Advertising’s landing page.

2.5 Zedosh has the right to refuse or take-down and suspend Advertising on the Zedosh Platform which is (in Zedosh’s reasonable opinion) in contravention of paragraphs 2.1 to 2.4 above.

Our Advertising Service Agreement

Our licence to deliver your ad will end when we have completed your Order.

Definitions and interpretation

‘Anonymised’

means data that has been de-identified and/or aggregated with other data to such an extent that data subjects are no longer identified, identifiable or otherwise ascertainable by reference to or with the combination of other datasets;

‘Ad Services’

means the services to be provided by Zedosh including (but not limited to) the provision of the Platform and Visitor Information to the Customer;

‘Advertising’

means the Customer’s advertising to be displayed on the Platform or otherwise arising in connection with this Agreement the details of which are set out in the Order Form;

‘Brand Guidelines’

means any advertising guidelines or policies supplied by Zedosh from time to time [which are available here [insert URL];

‘Commencement Date’

means the commencement date set out in the Order Form;

‘Confidential Information’

means all information (whether in oral, written or electronic form) relating to a party’s business which may reasonably be considered to be confidential in nature including information relating to that party’s finances, technology, know-how, intellectual property, assets, strategy, products and customers;

‘Fees’

means the Platform Fee, the User Credit and other amounts payable as specified in the Order Form;

‘Intellectual Property Rights’

means copyright, rights in inventions, patents, know-how, trade secrets, trade marks and trade names, service marks, design rights, rights in get-up, database rights and rights in data, semiconductor chip topography rights, the right to sue for passing off, mask works, utility models, domain names and all similar rights and, in each case:

(a)            whether registered or not;

(b)            including any applications to protect or register such rights;

(c)            including all renewals and extensions of such rights or applications;

(d)            whether vested, contingent or future; and

(e)            wherever existing;

‘Order Form’

means the order form completed by the Customer for the Ad Services;

‘Platform Fee’

means the fee payable to Zedosh in exchange for the Ad Services;

‘User Credit’

means the aggregate price per view for the Advertising on the Platform to be paid to the User via Zedosh, as set out in the Order Form;

‘User Information’

means the data collected by the Zedosh about users of and visitors to the Platform, including visitors’ behaviour in relation to Advertising or otherwise in connection to the Platform;

‘VAT’

means United Kingdom Value Added Tax, and any other tax imposed in substitution for it and any equivalent or similar tax imposed outside the United Kingdom;

Advertising on the Platform

 

2.1 The Customer hereby grants to Zedosh for the duration of this Agreement a non-exclusive, revocable and transferable licence to:

a) make the Advertising available to Users to view on the Platform;

b) enable the Users to view the Advertising in accordance with the Users Terms of Service, which as at the date of this Agreement the latest version is available here https://zedosh.com/legal-stuff/ .

2.2 To the extent that the Customer is licensing the Advertising from a third party, the Customer acknowledges and agrees that the Customer is solely responsible for ensuring that it complies with those third party licence terms and Zedosh shall not be responsible, nor accepts any liability, for any breach of those third party licence terms.

2.3 The Customer shall provide a copy of the Advertising to be published on the Platform to Zedosh. Zedosh shall adapt and configure the Advertising as appropriate so that it can be uploaded onto the Platform.

2.4 All Advertising shall be required to comply with and shall be subject to the Platform’s technical requirements or specifications as notified by Zedosh to the Customer from time to time. Zedosh has right to refuse Advertising relating to:

a) tobacco, alcohol, prescription or recreational drugs or other related products;

b) weapons, ammunition or explosives;

c) adult contents or products or services and advertising that it reasonably determines is not appropriate for viewing by people aged [18] and younger;

d) advertising that it reasonably determines is shocking, sensational, inflammatory or excessively violent content;

e) advertising that exploits crises or controversial political or social issues for commercial purposes;

f) advertising that it reasonably determines discriminates or encourages discrimination against people based on personal attributes such as race, ethnicity, colour, national origin, religion, age, sex, sexual orientation, gender identity, family status, disability, medical or genetic condition;

g) advertising that it reasonably determines is sexually suggestive, illegal, offensive, inappropriate; and/or

h) is otherwise in breach of the Brand Guidelines.

2.5 In the event of any breach (or alleged breach) of clause 2.4, Zedosh may without prior written notice remove the Advertising from the Platform or any material which is causing (or alleged to cause) a breach of clause 2.4.

2.6 Zedosh shall upload the Advertising to and maintain it on the Platform, subject to payment by the Customer of applicable Fees in accordance with this Agreement. Zedosh shall not make any representations or warranties on the Customer’s behalf other than displaying the Advertising on the Platform in the agreed form.

2.7 The Customer acknowledges and agrees that it shall be solely responsible for ensuring that the Advertising complies with all applicable laws.

2.8 Zedosh shall be entitled to display similar third party promotional material on the Platform, which may relate to direct competitors of the Customer.

2.9 The Customer shall indemnify Zedosh from and against any losses, damages, liability, costs (including legal fees) and expenses which Zedosh may incur or suffer as a result of or arising from any breach of its obligations under clause 2.2 and 2.4.

Intellectual Property

3.1 All Intellectual Property Rights in the Advertising belong to the Customer. The Customer warrants that all Advertising provided by it shall comply with the Brand Guidelines.

3.2 The Customer shall ensure that all Advertising provided by it:

a) does not infringe any Intellectual Property Rights;

b) does not breach any law, statute or regulation;

c) is not defamatory, libellous, obscene, or otherwise unlawful;

d) does not contain viruses or other computer programs intended to damage, interfere with or unlawfully process personal or other data.

3.3 Zedosh shall be entitled to remove Advertising from the Platform if any Advertising infringes (or in Zedosh’s reasonable opinion is likely to infringe) any Intellectual Property Rights of any third party or otherwise be illegal.

3.4 The Customer shall indemnify and keep indemnified and hold harmless Zedosh from and against any losses, damages, liability, costs (including legal fees) and expenses incurred by Zedosh as a result of or in connection with any action, demand or claim that use or operation of any Advertising provided by Customer infringes the Intellectual Property Rights of any third party.

3.5 All Intellectual Property Rights in the Platform, Ad Services and in any material created by Zedosh (or anyone acting on its behalf) in performing its obligations under this Agreement shall belong absolutely to Zedosh (or its licensors).

3.6 All Intellectual Property Rights in the Visitor Information obtained by Zedosh relating to the Advertising shall belong absolutely to Zedosh.

3.7 Zedosh hereby grants to the Customer a non-exclusive, revocable, non-transferable and personal licence to access and use the Visitor Information for its own internal business purposes only.

Ad Services

4.1 Zedosh shall during this Agreement provide a [monthly] report, with details of the Advertising and associated viewing statistics, Visitor Information and other information in a manner determined by Zedosh.

4.2 The Customer acknowledges that Zedosh will de-identify Visitor Information to render it Anonymised before it is shared with the Customer in accordance with clause 4.1 above.

4.3 Zedosh warrants that:

a) it will provide the Ad Services with reasonable care and skill; and

b) it shall make reasonable efforts to provide the Customer with prior email notification of all scheduled and emergency interruptions to the availability of the Advertising on the Platform and shall use all reasonable endeavours to keep such interruptions to a minimum.

 4.4 The Platform may be subject to delays, interruptions, errors or other problems resulting from use of the internet or public electronic communications networks used by the parties or third parties. The Customer acknowledges that such risks are inherent and that Zedosh shall have no liability for any such delays, interruptions, errors or other problems.

4.5 Zedosh does not guarantee the reach or performance (for example, the number of people who will see the Advertising and the impact of those viewing) that Advertising will receive on the Platform. Zedosh cannot guarantee that the Platform or the Ad Services will meet the Customer’s expectations.

4.6 Without prejudice to Zedosh’s obligations under this Agreement in respect of the Ad Services provided in connection with the same are provided ‘as is’ and other than as set out in this Agreement all warranties, conditions, terms, undertakings or obligations whether express or implied and including any implied terms relating to quality, fitness for any particular purpose or ability to achieve a particular result are excluded to the fullest extent allowed by applicable law.

Changes to the Platform

5.1 Zedosh may by notice in writing make any changes to the Platform which are necessary to comply with any law applicable anywhere in the United Kingdom or with any published policies, guidelines or codes of practice not having the force of law but which represent good practice.

5.2 Zedosh may from time-to-time provide new versions or updates to the Platform in order to:

a) fix bugs or update security;

b) improve general performance;

c) enhance the features and functionality; or

d) support new devices and operating systems.

Fees

6.1 The Customer shall pay Zedosh the Fees set out in the Order Form.

6.2 The Customer agrees that Zedosh is acting as the payment collection agent solely for the limited purpose of making payment to Users on behalf of the Customer and that payment made to a User via Zedosh shall be considered the same as a payment made directly to the User by the Customer.

6.3 Unless stated to the contrary, all fees are exclusive of VAT or other charges imposed by law from time to time, and the Customer shall in addition pay such VAT and other charges at the rate and in the manner prescribed by law from time to time.

Limitation of Liability

7.1 The extent of the parties’ liability under or in connection with this Agreement (regardless of whether such liability arises in tort, contract or in any other way and whether or not caused by negligence or misrepresentation) shall be as set out in this clause 7.

7.2 Subject to clauses 7.5 and 7.7, Zedosh’s total liability shall not exceed the sum of £[insert].

7.3 Subject to clauses 7.5 and 7.7, neither party shall be liable for consequential, indirect or special losses.

7.4 Subject to clauses 7.5 and 7.7, neither party shall be liable for any of the following (whether direct or indirect):

a) loss of profit;

b) loss of or corruption to data;

c) loss of use;

d) loss of production;

e) loss of contract;

f) loss of opportunity;

g) loss of savings, discount or rebate (whether actual or anticipated);

h) harm to reputation or loss of goodwill.

 7.5 The limitations of liability set out in clauses 7.2 to 7.4 shall not apply in respect of any indemnities given by either party under this Agreement.

7.6 Except as expressly stated in this Agreement, and subject to clause 7.7, all warranties and conditions whether express or implied by statute, common law or otherwise are excluded to the extent permitted by law.

7.7 Notwithstanding any other provision of this Agreement, the liability of the parties shall not be limited in any way in respect of the following:

a) death or personal injury caused by negligence;

b) fraud or fraudulent misrepresentation; or

c) any other losses which cannot be excluded or limited by applicable law.

 

Termination

10.1 Zedosh may terminate this Agreement immediately and remove the Advertising from the Platform if the Customer commits a material or persistent breach of this Agreement, the Platform is discontinued, or where the provision of the Platform become unlawful. Zedosh will use reasonable endeavours to provide the Customer with notice in advance; however, the Customer acknowledges that this may not be possible in all circumstances.

10.2 Unless terminated earlier in accordance with clause 10.1 above, this Agreement will automatically terminate when the User Credit has been used up by Users.

10.3 Upon termination all rights granted to the Customer and by the Customer under this Agreement shall immediately terminate (including, for the avoidance of doubt, any rights granted to Users to view the Advertising).

Other important terms

11.1 The Customer may not assign, transfer, sub-license or deal in any other manner with any or all of its rights or obligations under this Agreement, without Zedosh’s prior written consent. Zedosh reserves the right to transfer, assign, sub-contract or deal in any other manner with any or all of its rights or obligations under this Agreement, without notifying the Host or receiving the Host’s consent.

11.2 This Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.

11.3 This Agreement , and all documents referred to in them, constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

11.4 No failure, delay or omission by either party in exercising any right, power or remedy provided by law or under this Agreement shall operate as a waiver of that right, power or remedy, nor shall it preclude or restrict any future exercise of that or any other right or remedy. No single or partial exercise of any right, power or remedy provided by law or under this Agreement shall prevent any future exercise of it or the exercise of any other right, power or remedy.

11.5 This Agreement and any dispute or claim arising out of, or in connection with it, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of England and Wales.

11.6 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, this Agreement, its subject matter or formation (including non-contractual disputes or claims).
